Effective date: 7 September 2026
Terms of Service
1. Introduction and acceptance
These Terms of Service (“Terms”) govern access to and use of QuorumHQ (“the Platform”), a cloud-based software service operated by JETA Digital Ltd (“JETA Digital”, “we”, “us” or “our”).
By registering for an account, accepting an invitation, using the Platform, or clicking to accept these Terms, you agree to be bound by them on behalf of yourself and the Agency you represent. If you do not agree, do not use the Platform.
2. Eligibility and business use
QuorumHQ is intended for businesses, principally property managing agents and owners’ management company (OMC) managers operating in Ireland. You must be at least 18 years old and have authority to bind your organisation. Accounts may not be used for personal, consumer or non-business purposes unless expressly agreed in writing.
3. Account registration and Agency Admin responsibility
The first user who creates an Agency on QuorumHQ becomes the Agency Admin. Agency Admins are responsible for:
- maintaining accurate Agency and user information;
- inviting and removing team members appropriately;
- assigning roles and permissions in line with the Agency’s internal controls;
- keeping login credentials secure and notifying us promptly of any suspected unauthorised access.
You are responsible for all activity that occurs under your account credentials.
4. Customer data and accuracy
You retain ownership of the data you or your users upload to QuorumHQ, including member, director, unit, OMC, contact and document information. You are solely responsible for the accuracy, completeness and lawfulness of that data and for ensuring you have the right to upload, share and process it through the Platform.
QuorumHQ provides tools to help manage OMC records. It does not verify the legal ownership of units, the validity of director appointments, or the correctness of statutory filings. You must independently verify any information before relying on it for legal, regulatory or commercial decisions.
5. Acceptable use
You agree not to use QuorumHQ to:
- upload or distribute unlawful, defamatory, infringing, fraudulent or malicious content;
- harass, mislead or impersonate any person;
- interfere with the security, availability or performance of the Platform;
- reverse engineer, scrape or attempt to gain unauthorised access to any part of the service;
- send unsolicited bulk communications through the Platform.
6. Agency users and team access
Agency Admins may invite additional users to the Agency’s workspace. Each user is granted access according to the role assigned to them. You are responsible for the acts and omissions of your invited users and for promptly revoking access when no longer needed.
7. Service availability, maintenance and changes
We use commercially reasonable efforts to make QuorumHQ available. However, the Platform is provided on an “as available” basis. Scheduled maintenance, security updates, third-party dependencies and events outside our reasonable control may affect availability. We may change, suspend or discontinue features with reasonable notice where practicable.
8. Subscriptions, fees and billing
Access to certain features or usage levels may require a paid subscription. Fees, billing cycles and payment terms are set out in the applicable order, quotation or subscription agreement. We may change pricing for new subscriptions or renewal periods with advance notice. Any trial or pilot arrangement is subject to the specific terms communicated at the time.
9. Customer data ownership
Subject to the licences granted below, you retain all rights in your data. We do not sell your data. We process your data only to provide, secure and improve the Platform and as otherwise described in our Privacy Policy or required by law.
10. Intellectual property
QuorumHQ, its software, interfaces, branding, documentation and all related intellectual property rights are owned by JETA Digital Ltd or its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Platform during the term of your subscription or free access period. You may not copy, modify, distribute or create derivative works except as permitted by these Terms.
11. Confidentiality
Each party agrees to protect the other’s confidential information and to use it only for the purposes of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or a court of competent jurisdiction.
12. Data protection and Privacy Policy
Our processing of personal data is described in the QuorumHQ Privacy Policy. Where you upload personal data of members, tenants, directors or other individuals, you are generally responsible for determining the purposes of that processing and for ensuring an appropriate lawful basis exists. QuorumHQ processes that data on your instructions as a processor in those circumstances.
13. Regulatory and professional compliance
QuorumHQ is designed to assist with OMC administration, but it is not a substitute for legal, accounting, tax, company-secretarial, PSRA or other professional advice. You remain responsible for complying with the Companies Act, the Multi-Unit Developments Act 2011, PSRA licensing requirements, data protection law, and any other applicable statutory, regulatory or professional obligations.
14. Suspension and termination
We may suspend or restrict access to QuorumHQ if we reasonably believe there has been a breach of these Terms, a security risk, or non-payment of fees. You may terminate your account at any time by contacting your Agency Admin or, for the Agency Admin, by requesting account closure through support@quorumhq.ie. Provisions relating to data ownership, confidentiality, liability and governing law survive termination.
15. Disclaimers
To the fullest extent permitted by law, QuorumHQ is provided without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure or free from harmful components.
16. Limitation of liability
To the maximum extent permitted by applicable law, JETA Digital Ltd’s total aggregate liability arising out of or relating to these Terms or the Platform, whether in contract, tort or otherwise, shall not exceed the total amount paid by you to us in the twelve (12) months immediately preceding the event giving rise to liability, or €100 if no fees have been paid. We shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded.
17. Indemnity
You agree to indemnify and hold harmless JETA Digital Ltd and its officers, directors, employees and agents from claims, damages, losses and expenses (including reasonable legal fees) arising out of your use of the Platform, your data, your breach of these Terms, or your violation of any law or third-party right.
18. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or through the Platform at least 30 days before they take effect, except where required by law or to address security risks. Continued use after the effective date constitutes acceptance.
19. Governing law and jurisdiction
These Terms are governed by the laws of Ireland. Any dispute arising from them shall be subject to the exclusive jurisdiction of the Irish courts, without prejudice to either party’s right to seek injunctive relief.
20. Contact
If you have questions about these Terms, please contact us at support@quorumhq.ie.
